Banking Securities

The Firm represents a number of institutions in relation to preparation of various security documents, including legal charges, corporate bonds and debentures, chattel mortgages, letters of hypothecation, deeds of guarantee and indemnity, simple loan agreements, syndicated loan agreements, perusing security documents for companies borrowing money and preparation of necessary board resolutions, and related stamping and registration formalities.

Corporate Law, Governance and Company Law

In this regard, our practice provides services ranging from: incorporation of companies and trusts; registration of societies; registration of business names; registration and incorporation of Non-Governmental Organisations; corporate restructuring of Companies, and advising on the regulatory regime thereof; registration and incorporation of Co-operative Societies as well as advising on the regulatory framework; incorporation of various forms of companies, including domestication of foreign companies and corporate restructuring. The Practice ensures that: the Client‘s annual returns are filed on time; changes to the Client‘s constitutional documents are registered within the prescribed time limits; documentation for effecting the Client‘s decisions are drafted accordingly and filed in the appropriate registries; various Company notices are issued as warranted by law and so on. In essence, we help the Client be in full compliance with all the relevant laws.

Financial Services and Market Service

This practice group coordinates execution of financial service transactions and markets such as asset management, commercial Banking, insurance business, investment Banking, securities (stock exchange securities) and securitization, capital markets transactions, and cross-border trade and investments. The Practice Group also routinely provides legal advice and undertakes various transactions on large and complex debt and equity transactions and securitisations; Private Equity and Venture Capital.

The Firm has also conducted extensive research on payment systems, regulation of capital markets, international trade and investment law generally.

Joint Ventures, Partnerships & Alliances

This practice group would provide advice to and act for the Fund in transactional services related to the formation and definition of management and implementation structures for Special Purpose Vehicles (SPVs), joint ventures, Partnerships including: Limited Partnerships and the drafting of Alliance contracts, Public Private partnership Agreements and all other attendant agreements thereto.

Mergers and Acquisitions

Given the recent trends of companies forming alliances to, among other things, improve market presence or reduce costs of production, the Practice Group seeks to provide high quality service and expertise in a broad variety of acquisitions and disposals of assets, companies and businesses and covers all such transactions including acquisition of shares, business or other assets, whether inside or outside Kenya, resulting in the change of control of a business, part of a business or an asset of a business in Kenya in any manner and includes a takeover.

We offer structured pre-merger and post-merger advice on national, bilateral or multinational transactions involving diverse jurisdictions. We have capacity to negotiate acceptable settlements and solutions for the parties involved depending on the nature of each transaction and can undertake services such as: due diligence investigations; statutory and regulatory compliance advisories; business advisory services relating to the operations and management of a business; drafting and negotiation of all relevant contracts and agreements; advisories and management of intellectual property rights involved or being transferred; schemes of arrangement or Corporate restructuring; take-overs and management buy-outs, among others.

Project Finance and Infrastructure Development

The Firm has previously offered legal services and provided advisories relating to infrastructure projects in the sectors of power generation, industrial plants and oil, gas and other natural resource projects as well as offering legal services and advisories related to financing through Debt Financing, Asset-Based Finance, Equity Investments and Public Private Partnerships.

Property (Land and Conveyancing)

Under property and Conveyancing practice, the Firm is involved in all aspects of Conveyancing transactions including sale and transfer of land, leases, sectional property transactions, sub-divisions, change of user, conveyances, re-conveyances, discharge of charges, caveats, cautions, easements, extension of expired Government leases, licenses, Powers of Attorney, prohibitions, Rectification of Titles, trusts relating to land, preparation of wills, applying for and obtaining various consents required under the law, paying land rents and rates on behalf of Clients, attending to stamping and registration formalities in respect of the above-mentioned transactions (where applicable), and advising Clients generally on all aspects of land law.
