Given the recent trends of companies forming alliances to, among other things, improve market presence or reduce costs of production, the Practice Group seeks to provide high quality service and expertise in a broad variety of acquisitions and disposals of assets, companies and businesses and covers all such transactions including acquisition of shares, business or other assets, whether inside or outside Kenya, resulting in the change of control of a business, part of a business or an asset of a business in Kenya in any manner and includes a takeover.
We offer structured pre-merger and post-merger advice on national, bilateral or multinational transactions involving diverse jurisdictions. We have capacity to negotiate acceptable settlements and solutions for the parties involved depending on the nature of each transaction and can undertake services such as: due diligence investigations; statutory and regulatory compliance advisories; business advisory services relating to the operations and management of a business; drafting and negotiation of all relevant contracts and agreements; advisories and management of intellectual property rights involved or being transferred; schemes of arrangement or Corporate restructuring; take-overs and management buy-outs, among others.
